TERMS AND CONDITIONS OF SALE

1. GENERAL

These Terms and Conditions of Sale (“Agreement”) are entered into between 

Advanced Bionics LLC, 28515 Westinghouse Place, Valencia, CA 91355, United States (“Advanced Bionics”, “Seller”, “we”, “us”) and the registered customer placing an order through the Advanced Bionics Online Order Form (“Buyer”, “you”, 

“Customer”).

This Agreement governs the sale of Products (defined below) ordered through the Online Order Form (Order(s)). You agree to be bound by, and comply with, this Agreement when using the Online Form to place an Order for Products from 

Advanced Bionics.

These Terms apply exclusively to orders placed online via the Online Order Form. Orders placed by telephone, email, fax, or any other offline method are not covered by this Agreement.

Notwithstanding the foregoing, any prior agreement, whether written or oral, between Advanced Bionics and the Customer shall supersede these Terms and Conditions; and in the event of any conflicting language between this Agreement and such prior agreement, the terms of the prior agreement shall control.

2. SCOPE OF PRODUCTS

Product(s)include the items listed on the Advanced Bionics Online Order Form for sale to You.  All Products are intended solely for use with existing Advanced Bionics Cochlear Implant systems and accessories.  We recommend you refer to all Product documentation (as applicable) and/or consult with your healthcare provider to 

determine whether the Product(s) that you wish to order are compatible with your particular implant system

3. ELIGIBILITY AND ACCOUNT USE

The Online Order Form is a closed online platform available only to registered 

existing customers aged 18+. You must register for an account before placing any order.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account unless you notify Advanced Bionics of unauthorized use.

You agree to:

• provide accurate and current account information.

• promptly notify us of any unauthorized access or security breach.

• notify us of changes to your contact or account information.

• assume responsibility for orders placed using your credentials unless you

notify us otherwise.

• bear any costs associated with accessing the Online Order Form (including

internet access fees).

4. ORDER ACCEPTANCE AND CONFIRMATION

You must open an account, as the sale of products is limited to limited to health care professionals who place bulk orders for their practice or purchase accessories for their patients, and to patients who have an Advanced Bionics implant and wish to purchase directly from Advanced Bionics.

 You begin the purchase process by clicking the “Start your order” button and then enters their delivery address. In “Customization,” you choose the product or 

products. To place an order, you can add products to the Online Order Form with the opportunity to remove products before payment.

The order details are summarized on the payment page so that you can review them one last time. By clicking the 'Payment' button, you place a binding order for the product that is in your basket. To Confirm your order, you must check the checkbox acknowledging that you have read and agree to these Term and Conditions and clicking the "Place order” button on the checkout page. You acknowledge that by 

taking these actions, you enter into an obligation to pay for the Products in 

accordance with this Agreement.

We will contact you by email to inform you if accept or if we do not accept all or part of your Order. This is usually due to the following reasons (this list is not exhaustive): the products are not available; you are under eighteen (18) years old; we cannot ship the Order; we cannot authorize your payment; you are not authorized to purchase

our Products; we are not authorized to sell you the Products; you have ordered too many products; or an error occurred in the price or product description. We reserve the right to reject any order for any reason, without any liability towards you.

5.  Cancellation Policy

If we do not accept part of your order, that part of the order will be cancelled. If the payment has already been processed, we will refund you the amount for the cancelled products using the same payment method that you used for the initial transaction. Any product that is part of the same order and is still available will be shipped to you and charged as normal.

We are not required to cancel an Order after it is placed unless we agree to such cancellation in writing. If we agree to accept your cancellation, cancellation charges may apply.

We may cancel any part of an Order (including any Orders that we have accepted) without any liability to you for that cancellation at any time if:

• the requested Products in that Order are not available;

• there is an error in the price or the product description posted in the Online

Order Form relevant to your Order

• we are not allowed to supply the products to you under applicable law; or 

• that Order has been placed in breach of this Agreement.

If we cancel any part of an Order, then we will provide you with reasonable notice of that cancellation, and we will refund to you any money you have paid in respect of that Order.

5. PRICES, TAXES, AND PAYMENT 

All prices shown:

• exclude applicable sales tax unless otherwise stated. 

• exclude shipping and handling.

• are subject to change without notice.

You are responsible for all applicable taxes unless a valid exemption certificate is provided.

Payment must be completed online at checkout using the payment methods 

displayed in the Online Order Form.

If a pricing error occurs, Advanced Bionics may cancel the order or contact you for instructions prior to shipment.

6. DELIVERY AND RISK OF LOSS

Products will be shipped to the delivery address provided at checkout. We are not responsible in the event of a lost or missing shipment due to inaccurate information you provide to us in your Order.

Delivery dates are estimates only. We will notify you of any delay or failure to deliver the products within two business days of order confirmation. Delivery delays will not relieve you of your obligation to pay for your order.

Risk of loss transfers to you upon delivery of the Products to the carrier. 

Advanced Bionics is not responsible for delays caused by events outside its 

reasonable control.

7. ONLINE PRODUCT REPRESENTATION

We take reasonable steps to display Products accurately. However, colors, 

appearance, or detailing may vary depending on your screen.

Sizing or compatibility information is provided as guidance only. If uncertain, please contact Customer Service before placing an order.

Product availability may change. If Products become unavailable after ordering, you will not be charged or will receive a refund.

8. NO RESALE

Products purchased through the Online Order Form by non-professionals, are for your personal use only and may not be resold.

9. RETURNS AND REFUNDS

Please choose Products carefully, as refunds may not be available where you simply change your mind or select incorrect Products.

If Products are faulty, incorrect, or not as described, you may initiate a return within ninety (90) days of receipt by contacting Customer Service and following the provided return instructions.

You are responsible for return shipping costs and risks. Returned Products remain your responsibility until received by our warehouse. We recommend using a 

traceable shipping method and appropriate insurance.

Returned Products must be securely packaged. Please retain proof of shipment until your refund is processed.

Refunds will be processed as soon as reasonably practicable and in any event within fourteen (14) days after receipt of returned Products or proof of shipment. Refunds will be issued using the original payment method unless otherwise agreed.

Standard outbound delivery charges will be refunded where required by law. Return shipping costs are not refundable.

Exchanges, where offered, are limited to like-for-like Products and subject to 

availability. Replacement Products will ship only after returned Products are 

received.

This Returns and Refunds Policy does not limit any rights you may have under 

applicable consumer protection laws.

10. FAULTY PRODUCTS

If a Product in a package is faulty or damaged on delivery, we will replace it in 

accordance with applicable law.

You must notify Customer Service within one to two (1-2) days of delivery, providing your name, address, order reference, and details of the issue.

Nothing in this section limits your statutory rights.

11. LIMITED WARRANTY

Advanced Bionics warrants that Products will be free from defects in materials and workmanship under normal use in accordance with applicable product warranty documentation provided with the Product.

Upon return of a defective Product, Advanced Bionics may, at its option:

• repair the Product;

• replace the Product

This warranty does not apply to damage caused by misuse, abuse, unauthorized modification, accident, improper handling, or external causes.

Except as expressly stated, Products are provided “as is” to the maximum extent permitted by law.

12. CUSTOMER WARRANTIES 

You warrant that:

• all information provided is accurate and complete;

• the recipient at the delivery address is authorized to receive the Products;

• you will comply with applicable laws relating to your use of the Online Order

Form and placement of orders.

13. ACCOUNT SUSPENSION

Advanced Bionics may suspend or terminate your account or Online Order Form access without prior notice if:

• you breach these Terms;
• your conduct creates security or legal risk;
• required by law; or
• necessary to protect the Online Order Form or other users.

We may discontinue the Online Order Form or at any time.

If a dispute arises, we may suspend delivery of Products until resolution.

14. WEBSITE DISCLAIMER

The Online Order Form is provided “as is.” Advanced Bionics does not warrant uninterrupted or error-free operation or suitability for any particular purpose.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Advanced Bionics is not liable for indirect, incidental, special, or consequential

damages.

• Seller’s aggregate liability shall not exceed the purchase price paid for the

Product giving rise to the claim.

Nothing in this Agreement excludes liability for fraud, gross negligence, or personal injury  if prohibited by law.

Our liability is reduced to the extent you contributed to the loss or damage. 

Advanced Bionics is not responsible for failure or delay caused by events outside its reasonable control.

16. PRIVACY

Personal data is processed in accordance with the Advanced Bionics Privacy Policy.

17. DISPUTE RESOLUTION

You agree to attempt to resolve disputes in good faith prior to initiating legal proceedings.

18. GOVERNING LAW AND VENUE

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes shall be brought in the state or federal courts located in California. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Consumers retain any mandatory rights available under applicable consumer 

protection laws.

19. GENERAL PROVISIONS

These Terms constitute the entire agreement between the parties regarding Online Order Form purchases and supersede prior communications.

If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

Failure to enforce any provision does not constitute a waiver.
